B1. Definitions
In these Terms, the following words have the meanings given:

| ‘Kred. Score’ | The composite assessment score (0–100) generated by the Platform based on the data you provide, reflecting your business’s funding readiness. |
| ‘Documents’ | Lender-ready outputs generated by the Platform, including Assessment Reports, Executive Summaries, Funding Pitch Decks, Submission Templates, and other deliverables. |
| ‘Aya!’ / ‘Zaid!’ | The AI-powered advisory personas embedded in the Platform and WhatsApp service. |
| ‘Agency Partner’ | A business entity (accounting firm, financial advisor, company formation agent) holding a wholesale account and using the Platform on behalf of its clients. |
| ‘Funder’ / ‘Lender’ | Any bank, fintech, private credit provider, development finance institution, or other entity to which you may apply for funding. |
| ‘AECB’ | Al Etihad Credit Bureau, the UAE’s official credit bureau. |
| ‘Content’ | Any data, text, documents, financial information, or other material you submit to the Platform. |
| ‘Services’ | All features, tools, AI advisory, scoring, document generation, and related offerings provided through the Platform. |
B2. Acceptance and Eligibility
B2.1 Acceptance
By accessing the Platform, completing the onboarding flow, registering an account, or purchasing any Document, you agree to these Terms and the Privacy Policy (Part A of this document). These Terms form a legally binding agreement between you and Cherrug Holdings, LLC.
B2.2 Eligibility
To use Kred., you must:
- Be at least 18 years of age.
- Not be prohibited from using the platform under applicable law in your jurisdiction.
- Provide accurate, truthful, and complete information — see Section B6 on the consequences of providing false data.
B2.3 Jurisdictional Note
The Platform is designed for use by UAE-registered businesses. Users from other GCC jurisdictions (Saudi Arabia, Bahrain, Oman, Qatar, Kuwait) may use the platform in anticipation of Kred.’s regional rollout. Users outside these jurisdictions may access the platform but should be aware that scoring benchmarks, lender matches, and regulatory references are calibrated to the UAE market. Cherrug makes no representation as to the applicability of results to other markets.
B3. Description of the Platform
Kred. provides the following core services:
- Kred. Score — A composite 0–100 funding readiness score calculated across four weighted layers: Financial Capacity (55 points), Statutory Compliance (20 points), Operational Signals (15 points), and Relationship Quality (10 points), plus an Integrity Adjustment of up to ±10 points. The score reflects the quality and completeness of the data you provide and is calibrated to UAE lender expectations.
- Documents — including but not limited to: Kred. Assessment Report (free), Executive Summary / Lender Memo, Funding Pitch Deck, Lender Submission Template, Financial Summary Table, Offer Comparison Matrix, Agreement Review and Legal Brief, Sharia Compliance Declaration.
- AI Advisory — Access to Aya! (English, Hindi, Filipino, Swahili) and Zaid! (Arabic, Urdu) — AI-powered funding advisors who explain instruments, eligibility, and documentation requirements in plain language.
- Lender Matching — A ranked list of funding instruments and lenders matched to your Kred. profile, based on your score, sector, jurisdiction, and finance preferences.
- WhatsApp Service — Access to Aya! and Zaid! via WhatsApp for ongoing guidance, score alerts, and market intelligence broadcasts.
- Longitudinal Profile — An ongoing record of your Kred. score over time, with event-driven alerts when your score crosses lender thresholds or when relevant lender programmes open.
B4. What Kred. Is Not
Specifically, Kred. does not:
- Provide regulated financial advice under UAE Financial Services laws or US investment adviser regulations.
- Guarantee that any user will receive funding of any amount.
- Represent any lender or act as an agent, broker, or intermediary in any regulated sense.
- Provide legal advice. The ‘Agreement Review and Legal Brief’ document is a structured summary for informational purposes and does not constitute a legal opinion. Users should seek independent legal advice on all funding agreements.
- Provide tax advice. Financial summaries generated by the Platform are for funding presentation purposes only.
B5. User Accounts and Registration
B5.1 Account Creation
You may use the Platform’s onboarding flow without creating an account. To save your Kred. Score, access your score history, purchase Documents, and receive alerts, you must create a registered account using your email address and/or phone number.
B5.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately if you suspect unauthorised access to your account. We are not liable for losses resulting from unauthorised access where you have failed to maintain credential security.
B5.3 Accurate Information
You agree to provide accurate, current, and complete information when creating your account and using the Platform. Providing false or misleading information — including inflated revenue figures, misrepresented compliance status, or fabricated trade references — may result in account suspension, score invalidation, and notification to relevant parties where legally required. See also Section B6 on the Integrity Adjustment.
B5.4 One Account Per Business
Each registered business entity should maintain a single Kred. account. Creating multiple accounts to manipulate scoring outcomes is a prohibited use under Section B12.
B6. The Kred. Score
B6.1 Nature of the Score
The Kred. Score is a proprietary composite metric developed by Cherrug Holdings to reflect a UAE SME’s funding readiness based on the information provided. It is intended as a structured preparation tool, not a regulatory credit rating.
B6.2 Score Inputs
Your score is calculated from data you provide and, where connected, from verified third-party sources (AECB, accounting software, open banking). The accuracy of your score depends entirely on the accuracy and completeness of the data you submit.
B6.3 Data Tiers and Score Ceilings
Your score has a ceiling based on your Data Tier: Tier 1 (VAT returns only) caps Financial Capacity at 28/55. Tier 2 (plus bank statements) caps at 38/55. Tier 3 (plus management accounts) caps at 48/55. Tier 4 (audited financials) allows the full 55/55. These ceilings reflect the confidence level lenders place in each data type.
B6.4 Integrity Adjustment
The Kred. Score includes an Integrity Adjustment of up to ±10 points. This adjustment is applied based on internal cross-source reconciliation checks, behavioural analytics (time on steps, round-number density, field revision patterns), and consistency between declared data and verified sources. The Integrity Adjustment is designed to reward transparent data submission and flag potential inconsistencies. Users who submit manipulated, inconsistent, or fabricated data may receive a negative Integrity Adjustment.
B6.5 No Appeal of Score
The Kred. Score is a mathematical output of your submitted data and our scoring model. It is not a judgement on your business’s value or creditworthiness. As you add more or better data, your score will update accordingly. We do not offer manual score overrides.
B6.6 Lender Use of Score
The Kred. Score is provided to lenders only with your explicit consent. Lenders are not bound by the Kred. Score and make their own independent credit decisions. A high Kred. Score does not guarantee lender approval. A low Kred. Score does not mean you will not receive funding.
B7. Documents and Deliverables
B7.1 Ownership
Upon payment and delivery, you own the Documents generated for your specific business. Cherrug retains the underlying templates, scoring methodology, and AI models that produce those Documents.
B7.2 Accuracy and Reliance
Documents are generated from the data you provide. Their accuracy depends on the accuracy of your inputs. You are responsible for reviewing all generated Documents before submitting them to any lender. Kred. Documents are professional presentation tools — they do not constitute audited accounts, certified financial statements, or legally verified representations.
B7.3 Lender Submission
You acknowledge that lenders will conduct their own independent due diligence. The existence of a Kred. Document does not create any obligation on any lender and does not constitute a lender’s pre-approval or commitment.
B7.4 Document Pricing
Document pricing is displayed on the Platform at the time of purchase. Current pricing is set out in the table below. Prices are in UAE Dirhams (AED) and are inclusive of applicable taxes unless otherwise stated. Cherrug reserves the right to change pricing with 14 days’ notice to registered users.

B8. Payments and Refunds
B8.1 Payment Processing
Payments are processed by Stripe. By making a purchase, you also agree to Stripe’s Terms of Service. We accept major credit and debit cards and where available, other payment methods displayed at checkout. All prices are in AED unless otherwise stated.
B8.2 Refund Policy
Because Kred. Documents are generated digitally and immediately delivered upon payment, we operate the following refund policy:
- If a Document fails to generate due to a platform error, you are entitled to a full refund or regeneration at no charge.
- If you are dissatisfied with a generated Document, contact our legal team within 7 days of purchase. We will review the concern and offer a regeneration with corrected inputs, a partial credit, or in exceptional circumstances a full refund at our discretion.
- Refunds are not available where the Document was generated correctly based on your submitted data but the data was inaccurate or incomplete.
- Refunds for the Assessment Report are not applicable as it is free.
B8.3 Disputed Charges
If you believe a charge is incorrect, contact our legal team before initiating a chargeback. We will investigate and resolve billing disputes promptly. Initiating a chargeback without first contacting us may result in account suspension.
B9. Agency and Wholesale Accounts
B9.1 Agency Eligibility
Agency accounts are available to accounting firms, financial advisory practices, company formation consultants, CFO service providers, and similar professional entities. Agency status must be applied for and is subject to approval by Cherrug.
B9.2 Agency Obligations
Agency Partners must:
- Use Kred. only for genuine client engagements and not for speculative or fraudulent assessments.
- Maintain the confidentiality of client data processed through Kred.
- Ensure their clients are aware that their data is being processed through the Kred. platform.
- Not resell Kred. Documents at a price that misrepresents the document’s origin or manufacturing cost.
- Comply with all applicable professional regulations in their jurisdiction.
B9.3 Agency Pricing
Agency pricing is provided at 40% below direct consumer pricing through a credit-based system. Agency pricing is confidential and must not be published or disclosed to end clients. The price a client sees on any agency invoice is solely the agency’s commercial decision.
B9.4 White-Label Outputs
Agency Partners may present Kred.-generated Documents under their own brand, provided that: (a) the Kred. methodology and scoring are not misrepresented; (b) any lender reliance on the Documents is on the basis of the underlying data, not any implied certification by Kred.; and (c) the agency maintains professional liability insurance appropriate to their jurisdiction and practice.
B9.5 Revenue Share
Where a revenue-share arrangement is in place, Cherrug will pay 10% of gross Document sales revenue generated through the agency’s unique link or dashboard, credited monthly. Revenue share is subject to a minimum threshold and is paid at Cherrug’s discretion.
B10. AI Advisors — Aya! and Zaid!
B10.1 Nature of AI Advisory
Aya! and Zaid! are AI-powered advisory personas built on large language model technology (Anthropic Claude) and customised for UAE SME funding guidance. They provide informational guidance in plain language. They do not provide regulated financial advice.
B10.2 Limitations
AI responses may occasionally be inaccurate, incomplete, or not reflective of the most current lender requirements or regulatory changes. You should independently verify any information provided by Aya! or Zaid! before making financial decisions. Cherrug is not liable for decisions made in reliance on AI advisory content.
B10.3 Language and Voice
Aya! and Zaid! are available in multiple languages. Voice features use ElevenLabs text-to-speech technology. Speech-to-text uses Gladia. By using voice features, you consent to audio being transmitted to these third-party processors for transcription and synthesis. Audio is not retained beyond the session unless you explicitly save a conversation.
B10.4 No Advice Relationship
Your interactions with Aya! or Zaid! do not create an advisory, fiduciary, or professional relationship between you and Cherrug Holdings. The AI advisors are a self-service tool, not a substitute for qualified financial, legal, or accounting advice.
B11. WhatsApp and Messaging Services
The Kred. WhatsApp service operates under the WhatsApp Business Platform terms. By initiating contact via WhatsApp, you consent to receiving responses from Aya! or Zaid! on that channel. You may opt out at any time by sending ‘STOP’ to the Kred. WhatsApp number. We may send proactive messages (score alerts, market intelligence) only where you have opted in to receive them. Message frequency varies. Standard WhatsApp message rates may apply depending on your carrier.
B12. Prohibited Uses
You agree not to use the Platform for any of the following:
- Submitting false, fraudulent, or fabricated financial data with the intent to obtain a higher Kred. Score.
- Using the Platform to prepare documentation for a business you do not represent or for which you do not have authority.
- Attempting to reverse-engineer, scrape, or extract the Kred. scoring methodology, AI model weights, or platform infrastructure.
- Using automated tools, bots, or scripts to interact with the Platform without authorisation.
- Creating multiple accounts to manipulate your Kred. Score.
- Using the Platform for any unlawful purpose, including money laundering, fraud, or circumvention of financial regulations.
- Sharing access to a paid Account with unauthorised third parties.
- Submitting content that is defamatory, harassing, or in violation of any applicable law.
- Using the Platform in a manner that could damage, overburden, or impair its infrastructure or other users’ access.
Violation of any prohibited use may result in immediate account termination, score invalidation, and referral to relevant authorities where required by law.
B13. Intellectual Property
B13.1 Kred. IP
All intellectual property in the Kred. platform — including but not limited to the scoring methodology, algorithm architecture, document templates, brand identity (including the Kred. name, Kred. mark, tagline ‘Your business, funding ready.’, and the Aya! and Zaid! personas), software, and content — is owned by or licensed to Cherrug Holdings, LLC. Nothing in these Terms grants you any right to use Cherrug’s intellectual property other than as strictly necessary to use the Platform.
B13.2 Your Content
You retain ownership of the business data and financial information you submit to the Platform. By submitting Content, you grant Cherrug a limited, non-exclusive, royalty-free licence to process, store, and use your Content solely for the purposes of operating the Platform and providing the Services to you. We do not claim ownership of your business data.
B13.3 Aggregated Data
We may use anonymised, aggregated data derived from Platform usage (with all personally identifying information removed) to improve our scoring models, produce market intelligence, and develop new features. This aggregated data does not identify you or your business.
B14. Third-Party Services and Integrations
The Platform integrates with third-party services including Supabase, Anthropic, ElevenLabs, Gladia, Stripe, Pipedream, Wafeq, and others. Your use of these services through the Platform is subject to their own terms and privacy policies. Cherrug is not responsible for the availability, accuracy, or performance of third-party services.
Where you connect a third-party account (e.g. an accounting platform) to Kred., you authorise us to access the data necessary to populate your assessment. You may disconnect these integrations at any time from your account settings.
B15. Disclaimers
Cherrug does not warrant that:
- The Kred. Score will result in any particular funding outcome.
- Any lender listed in your results will provide funding on any terms.
- Kred.-generated Documents will be accepted by any specific lender.
- The Platform’s AI content is always accurate, up to date, or applicable to your specific circumstances.
- Market intelligence provided through the Platform reflects current lender policy.
B16. Limitation of Liability
To the maximum extent permitted by applicable law:
- Cherrug Holdings, LLC’s total cumulative liability to you for any claims arising from your use of the Platform shall not exceed the greater of (a) AED 2,000 or (b) the total amount paid by you to Cherrug in the 12 months preceding the claim.
- In no event shall Cherrug be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of funding opportunity, loss of data, or business interruption, even if advised of the possibility of such damages.
- Cherrug is not liable for decisions made by lenders in response to Kred. Documents or scores.
- Cherrug is not liable for the accuracy of data retrieved from third-party sources including AECB, accounting software integrations, or open banking connections.
Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.
B17. Indemnification
You agree to indemnify, defend, and hold harmless Cherrug Holdings, LLC, its members, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Platform in violation of these Terms.
- Your submission of false, inaccurate, or misleading data to the Platform.
- Your violation of any applicable law or regulation.
- Any third-party claim relating to your use of Kred.-generated Documents.
- Your infringement of any intellectual property or other rights of any third party.
B18. Governing Law and Disputes
B18.1 Governing Law
These Terms are governed by the laws of the State of Wyoming, United States of America, without regard to its conflict of laws principles.
B18.2 UAE Users
For users located in the United Arab Emirates, these Terms are additionally subject to applicable UAE federal law where mandatory local law provisions apply and cannot be contractually displaced.
B18.3 Dispute Resolution
In the event of a dispute arising from these Terms or your use of the Platform, the parties agree to first attempt good-faith resolution through direct negotiation. Contact our legal team.
If the dispute is not resolved within 30 days, it shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The seat of arbitration shall be Wyoming, USA. The language of arbitration shall be English. The arbitrator’s decision shall be final and binding.
B18.4 Class Action Waiver
To the extent permitted by applicable law, you waive your right to participate in any class action lawsuit or class-wide arbitration against Cherrug Holdings, LLC.
B18.5 Injunctive Relief
Nothing in this Section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction where necessary to protect intellectual property rights or prevent immediate irreparable harm.
B19. Modifications to the Service
Cherrug reserves the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice. We will endeavour to provide 14 days’ notice of material changes to registered users. Cherrug is not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
We may update these Terms from time to time. Continued use of the Platform after updated Terms are posted constitutes acceptance. We will notify registered users of material changes by email.
B20. Termination
B20.1 By You
You may close your account at any time by contacting our legal team. Upon closure, your personal data will be handled in accordance with Section A6 of the Privacy Policy. Documents you have purchased and downloaded remain yours.
B20.2 By Cherrug
We may suspend or terminate your account immediately and without notice if:
- You breach any provision of these Terms.
- We are required to do so by law or regulatory authority.
- We reasonably believe you have submitted fraudulent data or are using the Platform for unlawful purposes.
- Your account has been inactive for 24 consecutive months.
B20.3 Effect of Termination
Upon termination, your right to access the Platform ceases immediately. Outstanding payment obligations survive termination. Sections B6.4, B12, B13.1, B15, B16, B17, B18, and B21 survive termination.
B21. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Cherrug regarding the Platform and supersede all prior agreements.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of future enforcement.
- Assignment: You may not assign your rights or obligations under these Terms without Cherrug’s prior written consent. Cherrug may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force Majeure: Cherrug is not liable for delays or failures caused by circumstances beyond its reasonable control, including acts of God, war, pandemic, government action, or infrastructure failure.
- Language: These Terms are written in English. Where translated versions are made available, the English version governs in the event of conflict.
- Notices: Legal notices to Cherrug must be sent via our legal contact form. Notices to you will be sent to the email address associated with your account.
